Last updated: 01/08/2026

01

Purpose

These terms govern, on the one hand, the use of the site novaxisgroup.tech and, on the other, the technology services delivered by NOVAXIS SARL U: design and development of websites and applications, process automation, artificial-intelligence integration, consulting and support.

They apply to anyone who visits the site, contacts us through the form, by email, by phone or on WhatsApp, and to every client of a NOVAXIS engagement.

02

Acceptance

Visiting the site or sending us a request constitutes acceptance of these terms. They may be amended at any time; the applicable version is the one published on this page on the date of the request.

03

Use of the site

The site is provided for information purposes. No user account is required and no feature is restricted to an authenticated session.

Attempting to access non-public parts of the site, disrupting its operation or bulk-extracting its content is prohibited.
Information submitted through the contact form must be accurate and must relate to you or to an organisation you represent.
This site has no authenticated client area. Convosia user accounts are governed by the terms published on convosia.app.
04

Quotes and orders

Every engagement is covered by a written quote setting out the scope, deliverables, schedule and price. Preliminary exchanges, including the free scoping call, do not constitute a commitment.

The order becomes firm upon signature of the quote or its written approval by email, together with payment of the deposit.
Any request outside the scope described in the quote is subject to a priced amendment before work begins.
05

Pricing and invoicing

Prices are stated in FCFA and set out in the quote. They are firm throughout the validity period stated on it.

06

Client obligations

Quality and adherence to deadlines depend directly on the materials you provide us.

Provide, in good time, the content, access, credentials and approvals needed to deliver the engagement.
Appoint a single point of contact authorised to approve project milestones.
Warrant that you hold the rights to the content you entrust to us: text, images, trademarks, databases.
Any delay attributable to the client pushes back the delivery schedule accordingly, with no compensation.
07

Delivery, acceptance and ownership

Each deliverable is subject to your approval. Absent written feedback within 7 business days of delivery, the deliverable is deemed accepted.

The exploitation rights to bespoke deliverables transfer to the client once the price has been paid in full.
NOVAXIS SARL U retains ownership of its methods, internal tools, reusable components and pre-existing know-how.
Third-party components and integrated open-source software remain governed by their own licences.
Unless the client objects in writing, NOVAXIS SARL U may cite the engagement and the client’s name as a reference.
08

Warranty and maintenance

Defects reported during a warranty period of 3 months after acceptance are fixed free of charge where they relate to the delivered scope. Excluded are functional changes, work following a modification made by a third party, and failures of external services. Any maintenance beyond that period is covered by a separate contract.

09

Limitation of liability

NOVAXIS SARL U is bound by a duty of best efforts in delivering its services.

NOVAXIS SARL U can only be held liable where fault is proven, and its liability is capped at the pre-tax amount actually paid for the engagement concerned.
Indirect damages are excluded: loss of revenue, loss of customers, loss of data not backed up by the client, reputational harm.
NOVAXIS SARL U is not liable for outages, changes of terms or account suspensions decided by third-party services, in particular Meta Platforms for WhatsApp, hosting providers, payment providers and artificial-intelligence vendors.
No guarantee is given as to any commercial outcome, sales volume or search-engine ranking.
10

Privacy

Each party undertakes not to disclose the other’s confidential information, for the duration of the project and for two years after it ends. The processing of personal data is described in our privacy policy.

11

Termination

Either party may end the relationship under the conditions below.

In the event of a material breach, the aggrieved party may terminate after a written notice has remained without effect for fifteen days.
If the client terminates, work carried out up to the termination date remains payable and the deposit paid is not refunded.
NOVAXIS SARL U may suspend its services in the event of an unpaid invoice, after a written reminder.
12

Force majeure

Neither party may be held liable for a failure resulting from an event of force majeure: natural disaster, prolonged power or network outage, decision of a public authority, conflict, or major failure of an infrastructure provider.

13

Governing law and jurisdiction

These terms are governed by Ivorian law. The parties shall endeavour to settle any dispute amicably. Failing agreement, the dispute shall be brought before the Commercial Court of Abidjan, which has sole jurisdiction.
